    Terms and Conditions

    1. Introduction

    These Terms and Conditions ("Terms") govern the provision of executive assistance and business administration services by SJ Executive Assistance ("we", "us", "our") to you ("the client").

    By engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not proceed with engaging our services.

    2. Our Services

    SJ Executive Assistance provides professional executive assistance, business administration, project coordination and strategic support services, including but not limited to diary and inbox management, meeting preparation and follow-up, professional correspondence, project support and operational administration.

    The specific scope of services to be provided will be agreed between us and you in writing, including in any proposal, service agreement or statement of work.

    3. Engagement and Agreement

    A formal engagement begins once a written agreement has been signed or confirmed by both parties and any agreed first payment has been received.

    Any proposal or quotation provided is valid for 30 days from the date of issue, unless stated otherwise.

    4. Fees and Payment

    Fees for monthly retainer packages are payable monthly in advance using the agreed payment method. The first payment must be received before services begin, with subsequent payments due in accordance with the client's agreed monthly service period. Ad-hoc and day-rate support is invoiced in accordance with the agreed terms.

    Unless otherwise agreed, invoices are due for payment within 7 days of issue. Late payment may result in the suspension of services until outstanding fees are settled.

    All fees are exclusive of VAT where applicable.

    5. Client Responsibilities

    To allow us to deliver services effectively, you agree to:

    • Provide timely and accurate information and instructions
    • Grant necessary access to systems, documents and contacts where required to perform the agreed services
    • Respond to reasonable requests for information promptly
    • Ensure that any information you provide is accurate and that you are authorised to share it
    • Make payments in accordance with the agreed terms

    6. Confidentiality

    We will treat all information shared by you as confidential and will not disclose it to any third party without your prior consent, except where required by law or regulation.

    This confidentiality obligation continues during the engagement and after it ends.

    7. Data Protection

    Both parties will comply with their respective obligations under applicable UK data protection legislation, including the UK GDPR and the Data Protection Act 2018.

    8. Intellectual Property

    Any pre-existing templates, systems, processes, methodologies and other intellectual property belonging to SJ Executive Assistance remain our property. Ownership and permitted use of bespoke materials created specifically for a client as part of the agreed services will be determined by the relevant Client Service Agreement or otherwise agreed in writing.

    Materials provided by you remain your property and will be returned or deleted at the end of the engagement in accordance with our data retention practices.

    9. Termination

    Either party may terminate the engagement by providing written notice as set out in the agreed service terms, or where no notice period is specified, by providing at least 14 days' written notice.

    We reserve the right to terminate the engagement immediately in the event of a material breach of these Terms, non-payment, or conduct that we reasonably consider to be unlawful, dishonest or detrimental to our business.

    Upon termination, any fees due for services already provided will remain payable.

    10. Limitation of Liability

    SJ Executive Assistance will provide the agreed services with reasonable care and skill.

    Subject to applicable law, SJ Executive Assistance will not be liable for indirect or consequential losses, loss of profit, loss of opportunity or losses resulting from client instructions, inaccurate information supplied by the client, client delays or circumstances reasonably outside our control.

    Subject to applicable law, the total liability of SJ Executive Assistance arising out of or in connection with the services provided shall not exceed the amount recoverable under the Professional Indemnity Insurance policy maintained by SJ Executive Assistance in respect of the relevant claim.

    Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.

    11. Subcontracting

    We may use trusted third parties to provide elements of the service where necessary. Where we do so, we remain responsible for the performance of those services and for ensuring appropriate confidentiality and data protection arrangements are in place.

    12. Changes to These Terms

    We may update these Terms from time to time. The current version will be made available on our website, and the "Last updated" date will be amended when appropriate.

    13. Governing Law

    These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising will be subject to the exclusive jurisdiction of the courts of England and Wales.
